Solais Lamps

Solais Lighting, LLC warrants that our lamps will operate for a period of five (5) years from the date of purchase or 25,000 hours, whichever comes first, when used in accordance with package and lamp directions. If your Solais product does not last for the warranty period, please send your name and address, the product you are returning, and proof of purchase to the address listed on our website. This warranty is granted to the original purchaser of the lamp only, through Solais authorized distribution channels, and is not transferable or assignable to any third party.

If we determine that product failure was due to defects in material or workmanship, we will either (at the sole discretion of Solais): repair the product, replace the product, or provide a credit to the direct purchaser equal to the, 1) the original invoice price minus 2) the calculated usage. The calculated usage equals the original purchase price Solais charged purchaser for the lamp multiplied by the delivered warranty period in (days or hours) divided by the intended warranty period in (days or hours).

This limited warranty does not cover products subject to misuse, electrical current fluctuation, accident, neglect, or acts of God. All determinations are in Solais’ sole and absolute discretion. THIS REPLACEMENT, REPAIR OR REFUND OBLIGATION IS THE SOLE WARRANTY MADE BY SOLAIS WITH RESPECT TO ITS LAMPS AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL SOLAIS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES.

Exclusion of incidental or consequential damages is not allowed by some states, so the above limitations or exclusions may not apply to you.

Solais Fixtures

Solais Lighting, LLC warrants that our lighting fixtures will operate for a period of five (5) years from the date of purchase when used in accordance with package and fixture directions. If your Solais fixture does not last for the warranty period, please send your name and address, the product you are returning, and proof of purchase to the address listed on our website. This Warranty is granted to the original purchaser of the fixture through Solais authorized distribution channels and is not transferable or assignable to any third party.

If we determine that product failure was due to defects in material or workmanship, we will either (at the sole discretion of Solais): repair the product, replace the product, or provide a credit to the direct purchaser for the original purchase price. For repair/replacement of product during the first year, in-field labor coverage will be provided up to $75.00 per fixture.

This limited warranty does not cover products subject to misuse, electrical current fluctuation, accident, neglect, or acts of God. All determinations are in Solais’ sole and absolute discretion. EnergyLite

(a) What Is Covered by the Limited Warranty.

Solais Lighting, LLC (“Solais”) warrants, to the original purchaser (“Buyer”) only, that the LED‐based lighting products (the “Products”) sold to Buyer (1) conform to EnergyLite’s published specifications and (2) are free from defects in workmanship and material. As used in this Limited Warranty, “Nonconformance” means a defect in workmanship or material or failure to comply with EnergyLite’s published specifications. The determination of whether there is a Nonconformance with respect to any Product shall be made by Solais in its sole discretion with consideration given to the overall performance of the Product. Normal wear and tear (including, but not limited to, the failure of individual LED components to emit light if the number of inoperable components is less than 10% of the total number of LED components in the Product) or the need for periodic maintenance shall not constitute a Nonconformance or form the basis for a breach‐of‐warranty claim.

(b) Duration of the Limited Warranty.

The duration of the warranty set forth in paragraph (a) shall be as follows (in each case, the “Warranty Period”): (1) for any designated Product, five (5) years from the date of purchase of the Product; and (2) for replacement parts, the remainder of the applicable original Warranty Period set forth in paragraph (b)(1). The repair of any Product, as hereinafter provided, will not extend the applicable Warranty Period.

(c) Buyer’s Remedies.

(1) If, during the applicable Warranty Period, Buyer discovers a Nonconformance with respect to any Product, Buyer must promptly notify Solais in writing, setting forth in detail the nature of the Nonconformance and providing proof of purchase (“Buyer’s Notice”). Buyer’s Notice shall be sent to Solais by email to returns@solais.com or by mail/courier at the following address: 8655 Corporate Drive, Suite 100, Frisco, TX 75034. Upon receipt of Buyer’s Notice, Solais may require Buyer to promptly return the Product to Solais or its authorized service provider, freight prepaid.

(2) Within a reasonable time after its receipt of Buyer’s Notice (and receipt of original product, if required), Solais will, in its sole discretion, correct any Nonconformance in the Product identified in Buyer’s Notice by (i) repairing the Product, (ii) replace the Product, or (iii) provide a credit to the direct purchaser equal to the 1) the original invoice price minus 2) the calculated usage. The calculated usage equals the original purchase price Solais charged purchaser for the product multiplied by the delivered warranty period in (days or hours) divided by the intended warranty period in (days or hours). Solais reserves the right to use new, reconditioned, refurbished, repaired, or remanufactured products or parts in the warranty repair or replacement process. These remedies are Buyer’s exclusive remedies for breach of warranty.

(3) All warranty service will be performed at a warranty service facility designated by Solais following its receipt of Buyer’s Notice. Such warranty service, including parts, labor, and the costs and expenses relative to the shipment of replacement parts to Buyer, will be at Solais’ expense. The risk of loss or damage to all Products in transit shall be borne by the party initiating the transportation of such Products. This Limited Warranty excludes, and Solais shall have no liability for, field labor and service charges for the removal and reinstallation of the Product.

(4) Any action for breach of warranty must be commenced within one (1) year from the date the cause of action accrues in a state or federal court sitting in the State of Texas. This Limited Warranty shall be interpreted in accordance with the laws of the State of Texas, without regard to conflicts‐of‐laws principles and specifically excluding the provisions of the United Nations Convention on the International Sale of Goods.

(d) What Is Not Covered by the Limited Warranty.

Solais shall not be liable under this Limited Warranty for (1) any product, components, or parts not manufactured by Solais, (2) any Nonconformance caused by or attributable to any maintenance, repair, installation, handling, transportation, storage, operation, or use that is improper or that otherwise is not in compliance with EnergyLite’s instructions, (3) any Nonconformance caused by or attributable to any alteration, modification or repair by anyone other than Solais or those specifically authorized in writing by Solais, (4) any Nonconformance caused by or attributable to any accident, power surges, improper power supply, electrical current fluctuations, corrosive environmental conditions, contamination, foreign object damage, vandalism, abuse, neglect, or negligence after delivery to Buyer, (5) any Nonconformance caused by or attributable to any damage precipitated by failure of any Solais‐supplied product not under warranty or by any product not supplied by Solais, (6) damages caused by use of any Products for purposes other than those for which they were designed, (7) damage caused by disasters, such as fire, flood, wind, and lightning, (8) damages caused by unauthorized attachments or modifications, (9) damage during shipment, or (10) any other abuse or misuse by Buyer. Nothing in this paragraph shall be deemed in any way to modify or to broaden the limited warranty set forth in paragraph (a). No expansion of the scope of the warranty set forth in paragraph (a), and no extension of any applicable Warranty Period, shall be binding on Solais unless set forth in writing and signed by an authorized representative of Solais.

(e) Limitation of Remedies.

The remedies described above are Buyer’s sole and exclusive remedies. Under no circumstances shall Solais be liable for any cost, loss, expense, damages, special damages, incidental damages, or consequential damages arising, directly or indirectly, from Buyer’s purchase, ownership, or use of the Products, whether based upon breach of warranty, breach of contract, negligence, strict tort liability, or any other legal theory. Such excluded damages include, but are not limited to, loss of profits, loss of savings or revenue, loss of use of the Products or any associated property (including damage to, or the destruction of, any personal property or other contents contained in any area secured by any of the Products), costs of capital, costs of any substitute equipment, facilities, or services, downtime, the claims of third persons (including lessees, customers, and invitees), and injury to property. The exclusion or limitation of incidental and consequential damages shall be deemed independent of, and shall survive, any failure of the essential purpose of any limited remedy under the terms of this Limited Warranty. Solais’ aggregate liability with respect to a defective Product shall in any event be limited to the monies paid to Solais for such defective Product.

(f) Disclaimer of Warranty.

THE WARRANTIES AND LIMITS OF LIABILITY DESCRIBED ABOVE ARE IN LIEU OF ALL OTHER WARRANTIES AND LIABILITIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY AGAINST INFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SHOULD THE DISCLAIMER AND EXCLUSION OF SUCH IMPLIED WARRANTIES BE PROHIBITED BY APPLICABLE LAW, SUCH IMPLIED WARRANTIES ARE LIMITED IN DURATION TO THE PERIOD OF NINETY (90) DAYS FROM THE DATE OF PURCHASE.

(g) Modification of Warranty.

Solais reserves the right to modify or discontinue this
Limited Warranty with or without notice at the complete and sole discretion of
Solais. Any such modification shall be effective immediately with respect to
products specifically identified therein.
